About the role

As a Legal & Corporate Secretarial Executive at International SOS African Services Limited, you will be part of a Global team ensuring that all legal and regulatory mandates are met across a wide-ranging and diverse portfolio of companies. By maintaining compliance with legal obligations, you will help safeguard the operations and integrity of our organisations within these dynamic markets. You will engage with the Boards of Directors of various joint ventures and other legal entities, facilitating clear communication and strategic oversight. This position involves actively contributing to significant corporate matters such as mergers and acquisitions, corporate restructuring, and ongoing audit and compliance processes. You will be at the forefront of ensuring that our services are not only legally sound but also efficiently delivered, ultimately supporting our mission in providing premium medical services and security assistance to our clients.

Key responsibilities

  • Deliver comprehensive organisational and administrative support in cultivating and managing partnership relationships across various regions.
  • Assist country management teams in the timely acquisition, monitoring, and retention of all essential licenses and approvals necessary for the Group's operations.
  • Manage the official documentation for the International SOS Group, including maintaining records on official seals, issued shares, corporate bylaws, and minutes from board and shareholder meetings while aiding the annual audited accounts preparation.
  • Oversee and ensure adherence to corporate governance frameworks, ethics protocols, and sanctions compliance for all Group entities within the designated regions.
  • Proactively facilitate local management in securing and upholding required business licenses for operational entities in the Region, thus sustaining a compliant operational landscape.
  • Ensure diligent monitoring of the ownership and holding structure of Group legal entities, upholding accurate and up-to-date records within relevant secretarial databases.

Skills and Knowledge

  • In-depth knowledge of corporate governance practices applicable to multinational corporations, with a strong focus on collaborative relationship building with internal clients.
  • Comprehensive understanding of corporate governance laws and compliance frameworks across multiple jurisdictions, with prior experience managing a variety of legal entities especially in emerging markets.

Required Work Experience

  • A minimum of 2-5 years in a Corporate Secretarial Services role, ideally within a multinational firm with operations in the Region, fostering a rich understanding of local compliance and corporate governance.

Required Qualifications

  • University Graduate: A degree in Law or a related field is advantageous.
  • Fellowship with the Institute of Chartered Secretaries and Administrators or an equivalent qualification is considered an asset.
