About the role
As a Corporate Secretarial Executive at International SOS African Services Limited, you will occupy a critical position within our dynamic Legal Corporate Secretarial and Compliance teams. Your role will encompass ensuring adherence to a complex framework of legal and regulatory requirements across various countries, including regions such as Africa, Europe, MENA, and Latin America. This exciting opportunity will allow you to take charge of compliance management, directly impacting the operational integrity and legal compliance of our different entities. You will collaborate closely with key stakeholders, which is essential for maintaining our corporate governance standards. Furthermore, your strategic insights will help bridge the gap between regulatory compliance and our overarching business goals, promoting a culture of accountability and ethical conduct throughout the organisation. Your contribution will be pivotal in driving initiatives that align legal practices with sustainable operational frameworks, ensuring our diverse portfolio is managed efficiently and responsibly.
Key responsibilities
- Provide comprehensive organisational and administrative support to the Legal Corporate Secretarial and Compliance teams, ensuring all corporate entities and partnerships are managed effectively and efficiently.
- Facilitate communication and collaboration with country management teams to secure and uphold essential licenses and approvals necessary for the smooth operational flow across various regions.
- Responsible for the safekeeping and management of official corporate documents, which includes maintaining corporate records, official seals, bylaws, and minutes from both board and shareholder meetings. Ensure timely preparation and submission of annual financial statements to comply with regional regulations.
- Monitor and ensure adherence to timelines for business license acquisitions and maintenance, collaborating closely with local management.
- Maintain precise and detailed records in relevant databases reflecting the ownership structure of all Group legal entities, with a focus on data integrity and accessibility.
- Coordinate in-house legal meetings, ensuring all necessary facilities and resources are fully prepared and available for productive deliberations.
- Collaborate effectively with external service providers for the legalisation and certification of documents, assuring steadfast compliance with statutory obligations.
- Oversee the processes of international courier, managing the preparation and tracking of correspondence, and ensuring all necessary signatures are secured efficiently.
- Maintain comprehensive records of legacy cases while continuously developing a knowledge base for ongoing and future regulatory considerations.
Skills and competencies

- In-depth understanding of corporate governance practices within multinational environments, capable of fostering collaboration and effective communication with diverse internal stakeholders.
- Strong foundation in corporate governance laws across multiple jurisdictions, paired with extensive experience in managing a myriad of legal entities, particularly within emerging markets. Expertise in Company Law and regulatory frameworks is essential.
- Outstanding project management skills to lead and drive corporate governance initiatives effectively.
